Terms of Service

By accessing or using Fliphats CRM ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, do not use the Service.

Fliphats CRM is a cloud-based customer relationship management platform offering lead management, deal tracking, invoicing, proposal generation, project management, email marketing, and related tools. The Service is provided on a subscription basis with plans ranging from Free to Enterprise.

You must create an account to use the Service. You are responsible for: • Maintaining the confidentiality of your login credentials. • All activity that occurs under your account. • Ensuring the accuracy of registration information. • Notifying us immediately at legal@mail.fliphats.com of any unauthorised use. Each account may have one or more Workspaces. Each Workspace is an isolated environment with its own data, settings, and team members. You may invite team members to a Workspace; those members are bound by these Terms.

You agree not to use the Service to: • Violate any applicable law or regulation. • Send unsolicited bulk emails (spam) or engage in deceptive marketing practices. • Upload, transmit, or store malicious code, viruses, or harmful data. • Reverse-engineer, decompile, or disassemble the Service. • Attempt to gain unauthorised access to any part of the Service or its infrastructure. • Resell or sublicense the Service without our express written consent. • Interfere with or disrupt the integrity or performance of the Service. We reserve the right to terminate accounts that violate this policy without prior notice.

The Service is offered on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis depending on the plan you select. Fees are non-refundable except as required by applicable law. • Free Plan: No charge; subject to feature and usage limits. • Paid Plans: Automatically renewed at the end of each billing period. You may cancel at any time; cancellation takes effect at the end of the current billing period. • Price Changes: We will notify you at least 30 days in advance of any price changes. Continued use of the Service after the effective date constitutes acceptance. • Taxes: Prices exclude applicable GST or other taxes, which will be added at checkout where required.

You retain full ownership of all data you upload or create within the Service ("Customer Data"). By using the Service, you grant Fliphats Technologies Pvt. Ltd. a limited, non-exclusive licence to store, process, and transmit Customer Data solely to provide the Service. We do not sell Customer Data to third parties. We will not access Customer Data except as necessary to maintain the Service, respond to support requests, or comply with legal obligations. Upon termination of your account, Customer Data will be retained for 30 days, after which it may be permanently deleted.

Our collection and use of personal information is governed by our Privacy Policy, available at https://fliphats.com/privacy. By using the Service, you consent to our Privacy Policy.

The Service and all underlying technology, trademarks, logos, and content (excluding Customer Data) are the exclusive property of Fliphats Technologies Pvt. Ltd. and its licensors. Nothing in these Terms grants you any ownership rights in the Service. You may not use our trademarks, logos, or brand assets without prior written permission.

Both parties agree to keep confidential all non-public information disclosed during the course of using the Service, including pricing, product roadmaps, and Customer Data. This obligation survives termination for a period of 3 years.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLIPHATS TECHNOLOGIES PVT. LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD 100.

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 6, 8, 10, 11, and 13) shall survive.

These Terms are governed by the laws of the State of Delaware, USA. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Delaware, USA. Before initiating any legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at legal@mail.fliphats.com. We will attempt to resolve the dispute within 30 days.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a notice within the Service at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
